TERMS AND CONDITIONS FOR GRAPHICS PRODUCTION QUOTE

These terms and conditions (“Agreement”) constitute a legally binding agreement between Grafix Shoppe (“Company”) and the client

(“Client”) for the production of graphics as described in the quote provided by the Grafix Shoppe to the Client (“Quote”).  All graphics are custom manufactured to meet your specific needs and as such the following apply;

Quote: The Quote provided by the Company to the Client includes the details of the graphics production, including the scope of work, timeline, and fees. The Quote is valid for thirty (30) days from the date of issue.

Conditions: All orders or contracts are accepted with the understanding that they are subject to Company’s current manufacturing schedules, and government regulations, orders, directives, and restrictions that may be in effect from time to time. The Company shall not be liable for delays due to circumstances or acts beyond its control including, without limiting the generality of the foregoing, accident, strike or other labor troubles or disputes, flood, fire, war, or Act of God, civil commotion, lack of or inability to obtain labor or materials, embargo, delays in transportation, or because of compliance with any law or other governmental action, requirements, regulations or restrictions.

Fees: The Client shall pay the fees as set out in the Quote. The Company shall not be liable for any additional costs incurred by the Client unless agreed in writing by both parties.

Confidentiality: The Company agrees to keep confidential any information provided by the Client, including but not limited to trade secrets, proprietary information, and personal information.

Warranties: The Company warrants that the graphics produced will be free from defects in material and workmanship for a period of 90 days from the date of delivery. The Company shall have no liability for any defects caused by the Client or any third party.

Limitation of Liability: The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the graphics production, whether or not the Company has been advised of the possibility of such damages.

Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.

Amendments: This Agreement may only be amended in writing signed by both parties.

Waiver: Any waiver by either party of a breach of this Agreement shall not be deemed a waiver of any subsequent breach.

By accepting the Quote, the Client agrees to be bound by these terms and conditions.
